Begreppet lojalitetsplikt har sitt ursprung i den romerska rätten och har sedan dess spridits till stora delar av västvärlden. Lojalitetsplikten brukar definieras som en plikt att iaktta, eller att tillvarata, motpartens intressen.
Lojalitetsplikten gäller som en allmän rättsprincip även om dess betydelse i avtalsförhållanden länge var ifrågasatt. Under senare tid har debatten om vad den innebär fått större och större utrymme. När Högsta domstolen avgjorde målet NJA 2021 s. 943 ”Omsättningsmålet” sattes den allmänna avtalsrättsliga lojalitetsplikten för första gången i främsta rummet. Uppsatsen utreder vad prejudikatet innebär för kommande mål av lojalitetskaraktär och behandlar frågan om hur lojalitetsplikten vuxit fram i svensk rätt.

När Högsta domstolen avgjorde målet NJA 2021 s. 943 ”Omsättningsmålet” sattes den allmänna avtalsrättsliga lojalitetsplikten för första gången i främsta rummet. Uppsatsen utreder vad prejudikatet innebär för kommande mål av lojalitetskaraktär och behandlar frågan om hur lojalitetsplikten vuxit fram i svensk rätt.
Då lojalitetsplikten i kommersiella avtalsförhållanden inte regleras av någon lagstiftning i svensk rätt går denna uppsats igenom den bakomliggande teorin som går att finna i doktrinen och analyserar ett antal rättsfall i ett försök att beskriva innebörden av den allmänna avtalsrättsliga lojalitetsplikten i kommersiella avtalsförhållanden.
Uppsatsen konstaterar att Högsta domstolen i och med domen har utvecklat gällande rätt på så sätt att lojalitetsplikten kan tillämpas på självständig grund. Följden av prejudikatet blir att domstolarna får bättre klarhet i den rättspraxis som är gällande, även utan kodifiering. (Less)

Nowadays the principle of loyalty has become a general principle of law, even if its status in contractual relations was questioned for a long period of time. It has gained more and more interest lately and when the Swedish Supreme Court ruled in NJA 2021 s. 943 ”Omsättningsmålet”, the court directly based its judgment on the principle.

This thesis is investigating what impact the precedent might have on future loyalty cases and is also looking into the historical development of the principle of loyalty in Swedish contract law.
Due to the fact that the Swedish law system is handling cases related to the principle of loyalty by looking at general principles and case law, this thesis examines the theories found in the literature and analyses legal cases in an attempt to describe the impact of the principle of loyalty on commercial contractual relations.
The conclusion of the thesis is that the ruling in the ”Omsättningsmålet” case has set a new precedent that allow verdicts to be based on the principle of loyalty alone. Even if it will still be based on case law, this will give the courts a clearer picture on how to rule in cases involving loyalty issues. (Less)
