Kompletthetskravet i MER har varit föremål för diskussion i många år. Det är svårt att tillämpa, svårt att tolka och det är oklart om kompletthetskravet i praktiken ens är behäftat med någon rättsföljd. Samtidigt tycks det vara helt avgörande att på något sätt reglera mängdförteckningars kompletthet, för att systemet med mängdförteckningar över huvud taget ska gå att an-vända. Uppsatsen undersöker därför vilka tolkningar som finns av kompletthetskravet, vilken som är korrekt samt hur kompletthetskravet kan förändras.

Samtidigt tycks det vara helt avgörande att på något sätt reglera mängdförteckningars kompletthet, för att systemet med mängdförteckningar över huvud taget ska gå att an-vända. Uppsatsen undersöker därför vilka tolkningar som finns av kompletthetskravet, vilken som är korrekt samt hur kompletthetskravet kan förändras.

Kompletthetskravet innebär att en mängdförteckning måste innehålla alla kontraktsarbeten, och att arbeten som saknas i den ska ”regleras från noll”. Kravet kan dock läsas på olika sätt, och enligt vissa tolkningar hamnar det i konflikt med den så kallade ”kompletteringsregeln” i AB 04. En regelkonflikt kan ha konsekvensen att kompletthetskravet åsidosätts helt.

Den 29 april 2025 meddelade Svea hovrätt dom i mål T 6092–23 (”Infrakraftdomen”), och uttalade sig där om kompletthetskravet på det tydligaste sätt någon domstol gjort till dags dato. Den korta sammanfattningen av hovrättens uttalande är att kompletthetskravet är i konflikt med kompletteringsregeln, och att det förra är underordnat den senare. Konsekvensen av tolkningen är att kompletthetskravet i praktiken inte gäller. Domen överklagades till Högsta domstolen men blev nekad prövningstillstånd.

I uppsatsen identifieras de frågor som kompletthetskravet ger upphov till. Den viktigaste av dessa är hur arbeten som borde mängdförtecknats enligt MER där så inte har skett (”problemarbeten”) ska hanteras, eftersom det är vad som styr om entreprenören har rätt till ersättning utöver kontraktssumman. Frågan är ofta föremål för tvister. I uppsatsen presenteras tre alternativa tolkningsmodeller, som följer av de olika sätt man kan tolka kompletthetskravet i förhållande till AB 04.

Inom ramen för uppsatsen har även en mindre intervjustudie genomförts. Tre branschrepresentanter som dessutom arbetar med utformningen och framtagandet av kompletthetskravet, har hörts för att ge sin bild av hur kompletthetskravet ska tolkas och i förekommande fall hur det borde förändrats.

Uppsatsen kommer fram till slutsatsen att det förekommer flera olika tolkningar av kompletthetskravet, och att det i dagsläget inte går att säga att den ena är mer korrekt än den andra. I uppsatsen presenteras dock flera konkreta förslag på ändringar, både i kompletthetskravet och i AB-avtalen, som hade tydliggjort kompletthetskravets tillämpning och stävjat de oönskade konsekvenserna. It is difficult to apply, difficult to interpretet, and it is uncertain whether the completeness requirement is associated with any legal consequence in practice whatsoever. However, the requirement can be interpreted in different ways, and according to some interpretations it conflicts with the so-called “complementary rule” in AB 04. Such a conflict of rules may result in the completeness requirement being set aside entirely.

On 29 April 2025, Svea Court of Appeal delivered verdict in case T 6092–23 (“the Infrakraft verdict”) and expressed its view on the completeness requirement in the clearest manner any court has done. In short, the Court found that the completeness requirement conflicts with the complementary rule and that the former is subordinate to the latter. The consequence of this interpretation is that the requirement, in practice, does not apply. The complainant appealed to the Supreme Court but was denied leave to appeal.

The thesis identifies the issues arising from the completeness requirement. The most important of these concerns how works that, according to MER, should have been included in the bill of quantities, but were not, (“problem works”) are to be handled, as this determines whether the contractor is en-titled to compensation beyond the contract sum. This issue is often the subject of disputes. The thesis presents three alternative interpretative models, derived from the different ways in which the requirement can be under-stood in relation to AB 04.

As part of the thesis, a small interview study was conducted. Three industry representatives, who are also involved in the development of the completeness requirement, were interviewed to provide their views on how the requirement should be interpreted and how it ought to be revised.

The thesis concludes that there are several different interpretations of the completeness requirement, and that it is currently not possible to state that one is more correct than the others. Moreover, the thesis proposes several concrete amendments, both to the completeness requirement and to the AB contracts, which would clarify its application and mitigate the undesirable consequences arising from its current formulation.
